1. Introduction

These Terms and Conditions govern all sales, quotations, supply agreements, and transactions between [Your Company Name] (“Company”, “we”, “our”, or “us”) and its customers (“Buyer”, “Client”, or “Customer”).

By placing an order, requesting a quotation, or entering into a purchase agreement, the Buyer agrees to be bound by these Terms and Conditions.

2. Products

We manufacture and supply wood charcoal, coconut shell charcoal, and bamboo charcoal products for wholesale and export markets.

All products are subject to availability and production capacity.

Product specifications such as:

  • Ash content
  • Moisture level
  • Burn time
  • Size consistency
  • Packaging

are defined in the confirmed Proforma Invoice (PI) or Sales Agreement.

3. Orders & Acceptance

  • All orders must be confirmed in writing.
  • A Proforma Invoice (PI) will be issued for confirmation.
  • Orders are considered final once payment terms are agreed and deposit is received (if applicable).
  • We reserve the right to refuse or cancel any order at our discretion.

4. Pricing

  • All prices are quoted in EUR/USD unless otherwise specified.
  • Prices are based on agreed Incoterms (e.g., FOB, CIF, EXW).
  • Prices may change without prior notice until order confirmation.
  • Bulk pricing is subject to minimum order quantities (MOQ).

5. Payment Terms

Unless otherwise agreed in writing:

  • Standard payment terms:
    • 30% advance deposit
    • 70% balance before shipment

Accepted payment methods:

  • Bank Wire Transfer (T/T)
  • Letter of Credit (L/C) (if agreed)

Production will not begin until the required deposit is received.

Failure to complete payment may result in shipment delay or cancellation.

6. Production & Lead Time

  • Standard production lead time: [Insert timeframe, e.g., 15–30 days] depending on order volume.
  • Lead time begins after deposit confirmation.
  • Delays caused by force majeure, raw material shortages, shipping congestion, or customs issues are not the Company’s liability.

7. Shipping & Delivery

Risk transfers:

  • FOB: When goods pass the ship’s rail at port of loading.
  • CIF: As defined under agreed Incoterms.

The Company is not responsible for:

  • Port delays
  • Customs clearance in destination country
  • Local import taxes or duties

All import regulations are the Buyer’s responsibility.

8. Inspection & Quality Assurance

Every batch is tested for:

  • Moisture content
  • Ash percentage
  • Burn performance
  • Size grading

Buyers may request third-party inspection at their own cost.

Claims regarding quality must be submitted:

  • Within 7 days of goods arrival
  • With documented evidence (photos, reports)

No claims will be accepted after this period.

9. Returns & Refunds

Due to the nature of bulk charcoal products:

  • Returns are not accepted once goods are shipped.
  • Refunds apply only if:
    • The product materially differs from agreed specifications
    • Verified by independent inspection

Liability is limited to the value of the defective goods only.

10. Packaging & Private Label

Custom packaging and private labeling services are available.

The Buyer is responsible for:

  • Trademark ownership
  • Label compliance in destination market
  • Legal authorization for brand use

The Company is not liable for intellectual property disputes.

11. Limitation of Liability

Under no circumstances shall the Company be liable for:

  • Indirect or consequential losses
  • Loss of profits
  • Market losses
  • Business interruption

Maximum liability shall not exceed the total invoice value of the goods supplied.

12. Force Majeure

The Company shall not be liable for failure or delay caused by events beyond reasonable control, including but not limited to:

  • Natural disasters
  • War or political unrest
  • Government restrictions
  • Port closures
  • Pandemics
  • Raw material shortages

13. Governing Law

These Terms and Conditions shall be governed by the laws of:
